Non‑Disclosure & Confidentiality Agreement (NDA)**
For Staff, Contractors, System Administrators, Support, and Client Relations
This Non‑Disclosure & Confidentiality Agreement ("Agreement") is entered into as of the date signed below by and between HyperNode Hosting ("Company") and the undersigned individual ("Recipient"). The Company and Recipient may be referred to collectively as the "Parties."
In consideration of the Recipient's potential or actual engagement with the Company—whether as staff, contractor, volunteer, trainee, or applicant—the Parties agree as follows:
1. Definition of Confidential Information
"Confidential Information" includes all non‑public information disclosed by the Company, whether oral, written, electronic, or otherwise, including but not limited to:
- Client data, billing information, IP addresses, server configurations, and account details
- Backend systems, infrastructure layouts, security practices, and administrative tools
- Internal documentation, procedures, training materials, and staff communications
- Business strategies, pricing structures, financial information, and operational plans
- Login credentials, API keys, access tokens, and administrative permissions
- Any information marked confidential or reasonably understood to be confidential
Confidential Information remains the sole property of the Company.
2. Obligations of the Recipient
Recipient agrees to:
- Maintain strict confidentiality of all Confidential Information
- Use Confidential Information solely for authorized Company duties
- Prevent unauthorized access, disclosure, copying, or distribution
- Immediately report any suspected breach or unauthorized access
- Follow all Company security protocols and operational procedures
Recipient shall not:
- Disclose Confidential Information to any third party
- Use Confidential Information for personal benefit or competitive purposes
- Retain any Confidential Information after their role ends
- Circumvent Company systems, access controls, or security measures
3. Term & Survival
This Agreement:
- Takes effect immediately upon signing or accepting a role
- Remains in force during the Recipient's involvement with the Company
- Survives termination indefinitely until the Company releases the Recipient in writing
4. Return or Destruction of Materials
Upon termination of access or role, Recipient must:
- Return all Company property, documents, and credentials
- Permanently delete any stored Confidential Information
- Certify in writing that no copies, screenshots, or backups remain
5. Non‑Solicitation
For a period of twelve (12) months following termination, Recipient shall not:
- Solicit Company clients for competing services
- Induce Company staff, contractors, or clients to leave the Company
- Engage in any activity intended to harm Company business relationships
6. Non‑Circumvention
Recipient agrees not to:
- Bypass Company systems, processes, or client channels
- Provide hosting, support, or infrastructure services to Company clients outside the Company
- Use Confidential Information to compete with or undermine the Company
7. Remedies & Injunctive Relief
Recipient acknowledges that unauthorized disclosure or misuse of Confidential Information may cause irreparable harm to the Company.
The Company is entitled to:
- Immediate injunctive relief
- Damages, including legal fees
- Any other remedies available under law or equity
Recipient agrees that monetary damages alone may be insufficient.
8. No Guarantee of Employment
This Agreement does not:
- Guarantee employment
- Create an employment contract
- Require the Company to continue any relationship
It applies to applicants, trainees, volunteers, contractors, and staff.
9. Governing Law
This Agreement shall be governed by and interpreted under the laws of the State of North Carolina, unless the Company designates another jurisdiction in writing.
10. Severability
If any provision of this Agreement is found unenforceable, the remaining provisions shall remain in full force and effect.
11. Entire Agreement
This Agreement constitutes the entire understanding between the Parties regarding confidentiality and supersedes all prior discussions or agreements.
12. Acceptance & Signature
By signing below, the Recipient acknowledges that they:
- Have read and understand this Agreement
- Agree to be legally bound by its terms
- Understand the consequences of violating confidentiality
